“__”________2006 CONTRACT This contract is signed between the Сompany «PRIORA TOURS Ltd.» in the name of General director Mr.Kuzmichev Dmitry hereinafter named “PRIORA TOURS Ltd.” on one hand and the Company _________________in the name of General director _________________ hereinafter named “Company” on the other hand. “PRIORA TOURS Ltd.” and “Company” have concluded the present contract on the following. 1. Subject of the Contract. 1.1. The subject of the contract is providing services for group and individual tourists coming to Russia and CIS, booking the hotel rooms, providing meals, transport services, excursion programmes, visa support, conference facilities and other features of services available with “PRIORA TOURS”. 1.2. The present contract states the rights and obligations of the parties, terms of payment, booking and cancellation. 1.3. Any alterations and supplements to the Contract are accomplished by both the Parties in written form in case of mutual agreement between the Parties. 2. Duties & obligations of the parties 2.1. “PRIORA TOURS” provides all kinds of services on the territory of Russia and CIS for group and individual tourists according to the “Company’s” written request. 2.2. All bookings should be made by the “Company” in writing, indicating the exact dates of arrival/departure, the clients’ full name and country they are from, type of rooms, specificity of meals they need and additional services, such as conference facilities, transport services and excursion programme. Group requests are accepted at least a week prior to the group’s arrival. Individual requests are accepted at least 3 days prior to the individual client’s arrival, not mentioning holidays and days off. 2.3. “PRIORA TOURS” sends the confirmation to the “Company” during 24 hours after getting the request. 2.4. The parties do not bear mutual responsibility for the damage cause by the client on the territory of Russia and CIS, as well as for the actions, contradicting the law of these countries. 3. Terms of payment 3.1. Payments to “PRIORA TOURS” should be effected by the “Company” on the basis of the invoices provided by “PRIORA TOURS” in accordance to conditions set forth in appendix to the present agreement. 3.2. “PRIORA TOURS” accepts cash from the client in case of written confirmation from the “Company”. 4.Voucher 4.1. The services agreed by the “Company” shall be provided to the client by “PRIORA TOURS” according to the final itinerary. 5. Terms of Cancellation and Alteration of the Ordered Services. 6. Force-major 6.1. In case any force-major (circumstances irresistible, unforeseen and beyond one’s control) to occur with either Party and in case any formal prohibitive resolutions adopted by the government making the fulfilment of the present contract impossible or unprofitable the suffering Party shall be exonerated from its obligations without having to pay compensation for any detriment incurred to the other Party. 7. Settlement of disputes and discords. 7.1. Any disputes and discords which may arise out of/or in connection with the present contract shall be subject to settlement by means of negotiations. 7.2. In case the parties are not satisfied by the result of negotiations, the disputes are subject to settlement by Arbitration court of the Chamber of Commerce and Industry of Russian Federation in Moscow in accordance with the rules of procedure of the above Court. Awards of Arbitration are final and binding upon both parties. 8. Validity of Agreement. 8.1. The present agreement shall be effective from the date of its signing by both parties up to_______2007 8.2. The contract will be automatically renewed every year until one of the Parties declares, in writing, its intention of annulment, 1 month prior to the end of the contract, indicating the reasons of annulment. 9. Additions and Amendments. 9.1. No additions and/or amendments to the present contract shall be valid unless they are made in writing, signed by both the Parties and stipulated in the supplement to the agreement. 10.
